Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, services, and websites (collectively, the "Service") provided by Expanse Inc. ("Expanse," "we," "us," or "our"), accessible at expanseml.com. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility and Account Registration
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials, and you accept responsibility for all activities that occur under your account. You must notify us immediately at security@expanseml.com if you suspect unauthorized access to your account.
2. Description of Service
Expanse provides a vertically integrated decision intelligence platform for industrial operations, including but not limited to: asset management and predictive maintenance, supply chain intelligence and FEOC compliance, workforce and frontline engagement, production planning and scheduling, regulatory compliance and HSE management, AI-powered agent orchestration, embedded commodity trading infrastructure, application building tools, and physical action layer capabilities. The specific features available to you depend on your subscription tier and deployment configuration.
3. Subscription and Payment
Access to the Service requires a paid subscription unless otherwise agreed in writing. Subscription terms, pricing, and payment schedules are set forth in your Order Form or enterprise agreement. Unless otherwise stated, fees are non-refundable. We reserve the right to modify pricing upon renewal with at least 60 days' written notice. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to process data you do not have the right to use; (b) attempt to gain unauthorized access to any part of the Service or its related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or disassemble any portion of the Service; (e) use the Service to develop a competing product or service; or (f) resell, sublicense, or redistribute access to the Service without our written consent.
5. Customer Data
You retain all rights, title, and interest in data you submit to the Service ("Customer Data"). You grant Expanse a limited, non-exclusive license to use Customer Data solely to provide and improve the Service. We will not access Customer Data except as necessary to deliver the Service, prevent or address technical issues, or as required by law. Customer Data is handled in accordance with our Privacy Policy and any applicable Data Processing Agreement.
6. Confidentiality
Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information includes, without limitation, Customer Data, pricing terms, technical specifications, and business strategies disclosed under these Terms. This obligation survives termination for a period of three (3) years, except for trade secrets which are protected indefinitely.
7. Intellectual Property
The Service, including all software, algorithms, models, interfaces, documentation, and underlying technology, is owned by Expanse Inc. and is protected by United States and international intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or logos. Any feedback or suggestions you provide regarding the Service may be used by Expanse without obligation or compensation to you.
8. Service Level and Support
Enterprise customers receive service level commitments as specified in their Order Form or Service Level Agreement. We will use commercially reasonable efforts to maintain 99.9% uptime for cloud-hosted deployments, excluding scheduled maintenance windows. On-premise and air-gap deployments are subject to separate operational responsibility terms.
9. Warranties and Disclaimers
Expanse warrants that the Service will perform materially in accordance with its documentation during the subscription term. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EXPANSE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Expanse does not warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXPANSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, WHETHER INCURRED DIRECTLY OR INDIRECTLY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXPANSE'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EXPANSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Expanse and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or regulation.
12. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for cause if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice. Upon termination, your access to the Service will cease. You may request export of your Customer Data within thirty (30) days of termination, after which we will delete it in accordance with our data retention policies. Sections 5 through 11 and 13 through 15 survive termination.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall first be subject to good-faith negotiation for a period of thirty (30) days. If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party shall bear its own costs, and the prevailing party shall be entitled to recover reasonable attorneys' fees.
14. Modifications
We may update these Terms from time to time. Material changes will be communicated at least thirty (30) days in advance via email or through the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and contact us to terminate your account.
15. General Provisions
These Terms, together with any Order Form and Data Processing Agreement, constitute the entire agreement between you and Expanse regarding the Service. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms without our prior written consent. Expanse may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
